ffmpeg reads the Matroska container, selects the audio stream and encodes it to MP3. MKV is unusually permissive about what it can hold, so the source audio might be AAC, AC3, DTS, Vorbis or FLAC. All of them decode first and are then encoded to MP3, so a lossy source picks up one more generation of loss and a lossless source does not sound better than MP3 can represent. Chapters, subtitles and any video streams are dropped, because MP3 has nowhere to put them.
Worth knowing before you convert
Very long files take proportionally longer, since the whole audio stream has to be decoded and re-encoded. A file that is video only, with no audio stream at all, cannot produce an MP3.
